Freelance Agreement.

INDEPENDENT WRITER/FREELANCER AGREEMENTThis Writing Agreement (this "Agreement") is made effective as of January 1, 2022, by and between: CTRL+P Publishing Co, of PO Box 4488, Albuquerque, New Mexico 87196, and the Freelance Writer identified below. In this Agreement, the party who is contracting to receive the services shall be referred to as "CTRL+P Publishing" and/or "Recipient", and the party who will be providing the services shall be referred to as "Writer".DESCRIPTION OF SERVICES. Beginning on the effective date of this agreement, Writer will provide the following services (collectively, the "Services"): Writer will submit articles, blogs, photographs, drawings and other written matter to the Service Recipient on topics as assigned by CTRL+P Publishing and accepted by the Writer. The writer will draft the article after a thorough research on the subject and the articles will maintain good journlistic standards. Writer will choose to write in the style assigned by the editor or publisher (AP Style) and be free of factual errors or libel and must meet the standards of the Associated Press News Values & Principles(https://www.ap.org/about/news-values-and-principles/downloads/ap-news-values-andprinciples.pdf)In the event Writer submits a product which the Recipient finds, in its sole discretion, fails to meet the standards established above, the Recipient will provide Writer with written suggestions for improvement and Writer may make one round of corrections or changes to meet the standards.(required)

PAYMENT FOR SERVICES. CTRL+P Publishing will pay compensation to Writer for the Services in the amount of:1) $75 for 500 words with picture2) $125 for 1000 words with picture3) Other amounts as agreed in writing by both parties at the time of assignment.Payment shall be made by the Service Recipient, via check via US Mail or direct deposit, on the Friday of the next full week following submission, provided: Submission was submitted on or before the deadline and satisfies all terms and conditions of the assignment; and Is substantially free from error and requires editing of less than 10% of content to meet journalistic standards.For example, an assignment is due on Wednesday the 1st. It is reviewed and edited and accepted or returned for corrections by Friday the 3rd and filed for publication by the editor by close of business Monday the 6th. The freelancer is paid on the next Friday, the 10th.(required)

TERM/TERMINATION. This Agreement may be terminated by either party upon written notice to the other party, except that open assignments must be completed or cancelled in writing by the Publisher.(required)

RELATIONSHIP OF PARTIES. It is understood by the parties that Writer is an independent contractor with respect to CTRL+P Publishing, and not an employee of CTRL+P Publishing.CTRL+P Publishing will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of Writer.(required)

WORK PRODUCT OWNERSHIP. Any copyrightable works, ideas, discoveries, inventions, patents, products, or other information (collectively, the "Work Product") developed in whole or in part by Writer in connection with the Services shall be the exclusive property of CTRL+P Publishing. Upon request, Writer shall sign all documents necessary to confirm or perfect the exclusive ownership of CTRL+P Publishing to the Work Product.(required)

CONFIDENTIALITY. Writer will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Writer, or divulge, disclose, or communicate in any manner any information that is proprietary to CTRL+P Publishing. Writer will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Agreement. Upon termination of this Agreement, Writer will return to CTRL+P Publishing all records, notes, documentation and other items that were used, created, or controlled by Writer during the term of this Agreement.(required)

INDEMNIFICATION. Writer agrees to indemnify and hold harmless CTRL+P Publishing from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against CTRL+P Publishing that result from the acts or omissions of Writer, Writer's employees, if any, and Writer's agents.(required)

ENTIRE AGREEMENT. This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written.SEVERABILITY. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.APPLICABLE LAW. This Agreement shall be governed by the laws of the State of New Mexico.EFFECTIVE DATE. This Agreement is effective upon signature of both parties.(required)
